Welcome to SkillWhiz. These Terms of Use ("Terms") govern your access to and use of the SkillWhiz platform, including its web applications, mobile applications, creator tools, learning environments, AI-powered services, APIs, content management capabilities, and related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use the Platform.

1. About SkillWhiz

SkillWhiz is an AI-powered workforce capability development platform that enables organizations, educational institutions, training providers, creators, and learners to create, manage, distribute, consume, and analyze learning content and knowledge assets.

The Platform may include:

  • SWHIZ Studio (Content Creation & Authoring)

  • SWHIZ Hub (Administration & Distribution)

  • SWHIZ Verse (Learning Experience Platform)

  • SWHIZ Intelligence (AI-Powered Learning & Knowledge Intelligence)

  • APIs, integrations, analytics, and associated services

2. Eligibility

You may use the Platform only if:

  • You are at least 18 years old, or

  • You are using the Platform under the supervision of an authorized educational institution, employer, or legal guardian.

  • You have the legal authority to enter into binding agreements on behalf of yourself or your organization.

3. Account Registration

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate and complete information.

  • Keep your login credentials secure.

  • Maintain and promptly update account information.

  • Be responsible for all activities conducted through your account.

SkillWhiz reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Organizational Accounts

Organizations may purchase subscriptions and create accounts for administrators, instructors, creators, learners, contractors, partners, or other authorized users.

The organization:

  • Owns and manages its organizational workspace.

  • Is responsible for user administration.

  • May control, access, export, or remove organizational content.

  • May assign or revoke user access.

Users accessing the Platform through an organization acknowledge that the organization may administer their access and associated data.

5. License to Use the Platform

Subject to compliance with these Terms, SkillWhiz grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for lawful educational, training, workforce development, knowledge management, and professional purposes.

You may not:

  • Reverse engineer or decompile the Platform.

  • Attempt unauthorized access to systems or data.

  • Circumvent security mechanisms.

  • Copy, reproduce, resell, or sublicense the Platform.

  • Use the Platform to develop competing services.

  • Interfere with Platform performance or operations.

6. User Content

Users may upload, create, publish, transmit, or store content including:

  • Courses

  • Documents

  • Presentations

  • Videos

  • Assessments

  • Knowledge assets

  • Learning pathways

  • User-generated discussions

  • Multimedia content

You retain ownership of content you create or upload.

By uploading content, you grant SkillWhiz a worldwide, non-exclusive license to:

  • Host

  • Process

  • Store

  • Analyze

  • Display

  • Transmit

  • Transform

such content solely for the purpose of operating, improving, securing, and delivering the Platform and related services.

You represent and warrant that:

  • You own the content or have appropriate rights to use it.

  • The content does not infringe third-party intellectual property rights.

  • The content complies with applicable laws and regulations.

7. AI-Powered Services

SkillWhiz may provide AI-powered features including but not limited to:

  • Content generation

  • Content transformation

  • Knowledge extraction

  • Learning recommendations

  • Assessment generation

  • Skills mapping

  • Personalized learning paths

  • Knowledge assistants

  • Analytics and insights

Users acknowledge that:

  • AI-generated outputs may contain inaccuracies.

  • AI outputs should be reviewed before business-critical use.

  • SkillWhiz does not guarantee the accuracy, completeness, or suitability of AI-generated content.

  • Users remain responsible for decisions made using AI-generated outputs.

SkillWhiz may use uploaded content and user interactions to improve AI capabilities unless otherwise restricted by applicable enterprise agreements.

8. Intellectual Property

The Platform, including:

  • Software

  • Source code

  • AI models

  • User interfaces

  • Design elements

  • Logos

  • Trademarks

  • Documentation

  • Proprietary methodologies

are owned by SkillWhiz or its licensors and are protected by intellectual property laws.

No rights are granted except as expressly stated in these Terms.

SkillWhiz®, SkillWHIZ.ai®, SWHIZ Studio™, SWHIZ Hub™, SWHIZ Verse™, and SWHIZ Intelligence™ are trademarks or proprietary brands of SkillWhiz.

9. Marketplace and Third-Party Content

The Platform may allow access to:

  • Third-party content

  • Learning providers

  • External integrations

  • Marketplace offerings

  • Partner services

SkillWhiz does not own or control third-party content and is not responsible for:

  • Accuracy

  • Quality

  • Availability

  • Legality

  • Performance

Any transaction between users and third parties is solely between those parties.

10. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate laws or regulations.

  • Upload harmful code, malware, or viruses.

  • Harass, threaten, or abuse others.

  • Distribute fraudulent or deceptive content.

  • Infringe intellectual property rights.

  • Upload unlawful, defamatory, obscene, or offensive material.

  • Misrepresent your identity.

  • Interfere with Platform operations.

  • Conduct unauthorized security testing.

SkillWhiz reserves the right to investigate and remove content that violates these Terms.

11. Data Privacy

Your use of the Platform is also governed by the SkillWhiz Privacy Policy.

SkillWhiz processes personal information in accordance with applicable privacy and data protection laws, including those applicable to enterprise, educational, and international users.

Organizations remain responsible for obtaining necessary consents from their users where required by law.

12. Subscription and Fees

Certain Platform features require paid subscriptions.

By purchasing a subscription:

  • You agree to pay applicable fees.

  • Fees are billed according to the selected plan.

  • Subscription fees are generally non-refundable unless required by law or expressly stated in a separate agreement.

  • SkillWhiz may modify pricing upon reasonable notice.

Failure to pay fees may result in suspension or termination of services.

13. Service Availability

SkillWhiz strives to maintain reliable service availability but does not guarantee uninterrupted access.

The Platform may experience:

  • Scheduled maintenance

  • System upgrades

  • Temporary outages

  • Third-party service interruptions

SkillWhiz is not liable for interruptions beyond its reasonable control.

14. Security

SkillWhiz employs commercially reasonable security measures to protect the Platform and user data.

Users are responsible for:

  • Protecting account credentials.

  • Maintaining device security.

  • Reporting suspected unauthorized access.

No system can guarantee absolute security, and users acknowledge the inherent risks associated with internet-based services.

15. Termination

SkillWhiz may suspend or terminate access if:

  • These Terms are violated.

  • Applicable laws require suspension.

  • Payment obligations are not fulfilled.

  • Security risks are identified.

Users may discontinue use of the Platform at any time.

Upon termination:

  • Access rights cease immediately.

  • Certain data may be retained as required by law, compliance obligations, or legitimate business purposes.

16. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLWHIZ DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY

  • RELIABILITY

  • AVAILABILITY

SKILLWHIZ DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLWHIZ SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES

  • INCIDENTAL DAMAGES

  • CONSEQUENTIAL DAMAGES

  • LOSS OF PROFITS

  • LOSS OF BUSINESS

  • LOSS OF DATA

  • LOSS OF GOODWILL

IN NO EVENT SHALL SKILLWHIZ'S TOTAL LIABILITY EXCEED THE FEES PAID BY THE CUSTOMER FOR THE PRECEDING TWELVE (12) MONTHS.

18. Indemnification

You agree to defend, indemnify, and hold harmless SkillWhiz, its officers, employees, affiliates, partners, and licensors from claims arising from:

  • Your use of the Platform.

  • Your content.

  • Violation of these Terms.

  • Violation of applicable laws.

  • Infringement of third-party rights.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India, unless otherwise agreed in writing.

20. Changes to Terms

SkillWhiz may update these Terms from time to time.

Updated versions will be posted on the Platform with a revised effective date.

Continued use of the Platform after such updates constitutes acceptance of the revised Terms.
